Terms of Service

1. Acceptance

By creating an account, connecting a YouTube channel, or using our site you agree to these Terms, the Privacy Policy, and any plan-specific order form. If you use the services on behalf of an organization, you represent that you are authorized to bind that organization.

YouTube Terms of Service: By using engage suite., you acknowledge and agree that you are bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). Your use of our service to access, manage, or interact with YouTube content constitutes your agreement to comply with YouTube's Terms of Service in addition to these Terms.

2. Eligibility & compliance

• You must be at least 18 years old and able to enter into contracts.
• You must comply with Google/YouTube policies, applicable export controls, and local laws governing your content.
• You remain responsible for safeguarding your Google credentials and for all actions taken under your account.

3. Account & workspace

Each workspace is tied to a single Google identity. You agree to keep profile information accurate and to promptly notify us of unauthorized use. We may suspend or terminate access if suspicious activity is detected.

4. Subscriptions, billing & taxes

• Plan descriptions, limits, and prices are published on our pricing page and may change with 30 days’ notice.
• Paid plans auto-renew monthly until canceled. You can cancel any time; access remains until the end of the current billing term.
• Stripe processes payments on our behalf. We do not store full card numbers.
• Downgrades take effect at the next renewal and may reduce functionality or storage. Upgrades take effect immediately with prorated charges.
• Fees are exclusive of VAT or other taxes. You are responsible for applicable taxes except those based on our net income.
• Refunds are only provided where required by law or when we materially fail to deliver the subscribed service after receiving a cure notice.
• If payment fails and remains unresolved for 10 days, we may suspend the workspace and eventually delete data.

5. Plan limits & fair use

Each plan includes specific quotas (videos analyzed per month, comment volume, AI tasks). Exceeding limits may trigger throttling, overage fees, or a required upgrade. We may block abusive behavior (e.g., scripted refreshes, bulk exports) that harms platform stability.

6. Acceptable use

• Do not attempt to gain unauthorized access, probe our systems, or interfere with other users.
• Do not resell or redistribute insights without written permission.
• Only process comments from channels you own or are authorized to manage.
• Do not upload unlawful, infringing, or harmful content, or use the service to harass or discriminate.
• Respect API rate limits and YouTube’s Terms of Service. We may share violation details with Google.

7. Third-party services

engage suite. integrates with several third-party services to provide its functionality. By using our service, you acknowledge and agree to the terms and conditions of these third-party providers. We are not responsible for outages, changes, or limitations imposed by these third-party services. Disconnecting an integration may limit or disable certain platform functionality.

7.1 YouTube Data API & Google Services

Our service uses the YouTube Data API v3 and Google OAuth 2.0 to access and manage your YouTube channel data, including videos, comments, and channel information. By using engage suite., you agree to be bound by:

• Google API Services User Data Policy: Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
• Google Privacy Policy: Your use of Google services is also governed by the Google Privacy Policy.

You are responsible for maintaining the security of your Google account credentials and for all actions taken through your connected YouTube channel. We may share information about violations of YouTube's policies with Google as required by our API agreement.

7.2 OpenAI

We use OpenAI's API services to provide AI-powered features including comment analysis, sentiment detection, categorization, and automated reply generation. Your use of these AI features is subject to:

Content processed through OpenAI's services may be subject to OpenAI's usage policies and data handling practices. We do not control OpenAI's service availability, pricing, or feature changes.

7.3 Stripe

Payment processing and subscription management are handled by Stripe, Inc. When you make a payment or manage your subscription, you agree to:

We do not store your full payment card information. All payment data is processed securely by Stripe in accordance with PCI DSS standards. Stripe's terms govern the payment processing relationship, and we are not responsible for Stripe's service availability or any payment processing issues.

7.4 Third-Party Service Limitations

We rely on these third-party services to provide core functionality. If any third-party service becomes unavailable, changes its terms, or restricts access, we may be unable to provide certain features. We will make reasonable efforts to notify you of significant service disruptions, but we are not liable for third-party service failures or changes that affect our platform's functionality.

8. Intellectual property

We retain all rights to engage suite., including software, branding, and documentation. You retain ownership of your content but grant us a limited, revocable, worldwide license to process it solely to provide the services and comply with legal obligations. You grant us a royalty-free license to use feedback to improve the product.

9. Confidentiality & data protection

We treat your non-public information as confidential, using it only to deliver the services or fulfill legal requirements. Both parties will protect each other’s confidential information with reasonable care and comply with data protection laws as described in the Privacy Policy and, if applicable, a separate Data Processing Agreement.

10. Service changes & availability

We may modify features, release beta functionality, or deprecate legacy endpoints. We aim for high availability but do not guarantee uninterrupted access. Planned maintenance windows will be announced in advance whenever possible.

11. Warranty disclaimer

The services are provided “as is” and “as available”. To the extent permitted by Dutch law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). We do not warrant that insights will be error-free or that Google/YouTube will maintain API access.

12. Limitation of liability

Except for liability that cannot be excluded by law (e.g., fraud, intentional misconduct), each party’s aggregate liability arising out of these Terms is limited to the fees you paid during the 12 months preceding the event. Neither party is liable for indirect, consequential, special, exemplary, or punitive damages, lost profits, or revenue.

13. Indemnification

You agree to indemnify and hold OB Concepts harmless from claims, damages, and expenses arising out of your breach of these Terms, violation of YouTube/Google policies, or misuse of the services, provided we promptly notify you and allow you to control the defense.

14. Termination

You may terminate at any time by cancelling your plan and deleting your workspace. We may suspend or terminate for breach, non-payment, or legal/regulatory requirements. Upon termination we will disable access and delete or anonymize personal data in line with the Privacy Policy, except where retention is legally required.

15. Governing law & disputes

These Terms are governed by the laws of the Netherlands, excluding conflict-of-law principles. Parties agree to the exclusive jurisdiction of the competent courts in Amsterdam, except that either party may seek injunctive relief in any jurisdiction to protect confidential information or intellectual property.

16. Changes

We may update these Terms. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
